19. Term and Termination

These Legal Terms remain in effect while you use the Services. We may, in our discretion and without notice or liability, deny access to the Services, suspend or terminate accounts, block IP addresses, and remove content for any reason, including breach of these Terms or applicable law.

If your account is terminated or suspended, you are prohibited from creating another account under your name, a false or borrowed identity, or a third party’s name. We also reserve the right to pursue civil, criminal, and injunctive remedies.

Survival. Sections concerning intellectual property, user content licences, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and any provisions which by their nature should survive, will survive termination.

We may change, update, or remove content, features, or functionality, and we may modify, suspend, or discontinue all or part of the Services at any time, in our discretion, with or without notice. To the fullest extent permitted by law, we are not liable to you or any third party for any modification, price change, suspension, or discontinuance.

We do not guarantee the Services will be available at all times. Maintenance, upgrades, outages, or events outside our control may cause interruptions, delays, or errors. To the fullest extent permitted by law, we have no liability for any loss, damage, or inconvenience resulting from your inability to access or use the Services during downtime or discontinuance. You are responsible for maintaining your own backup copies of any content you need.

21. Governing Law

These Legal Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 22 (Dispute Resolution) and to the extent permitted by applicable consumer-protection laws, the Ontario Superior Court of Justice sitting in Newmarket, Ontario has exclusive jurisdiction over proceedings that exceed the monetary jurisdiction of the Small Claims Court. For claims within the Small Claims Court monetary limit, venue is the Ontario Small Claims Court sitting in Richmond Hill, Ontario. Each party irrevocably submits to the jurisdiction of those courts and waives any objection based on improper venue or forum non conveniens.

22. Dispute Resolution

Informal Negotiations

Before arbitration or court proceedings, you and Extreme Deals Of The Day will attempt to resolve any dispute, claim, or controversy (“Dispute”) informally. Either party may send a written notice describing the issue in detail to support@extremedealsoftheday.com. Both parties will cooperate in good faith to resolve the matter within 30 days of receipt.

Binding Arbitration

Except as provided below and to the extent permitted by applicable law, any unresolved Dispute arising out of or relating to these Legal Terms, the Services, or any product purchased through the Services will be resolved by confidential, binding arbitration under the ADR Institute of Canada Arbitration Rules before a single neutral arbitrator. The seat and place of arbitration is Newmarket, Ontario, and the language of the arbitration is English. Hearings may be held by video conference or in person, as the arbitrator directs.

The arbitrator may award any relief that a court could award, including injunctive or declaratory relief, statutory damages, or equitable remedies, and will apply these Legal Terms as a court would. The award is final and binding, and judgment may be entered in any court of competent jurisdiction.

Pricing and Transaction Disputes

Any Dispute relating to pricing, billing discrepancies, promotional offers, or charges processed through the Services will be resolved under this arbitration clause. For such matters, the final price confirmed at checkout and charged to your payment method is deemed the agreed purchase amount unless a clear, verifiable error is shown by transaction records. This clause does not limit any rights you may have under applicable payment-network rules or consumer laws.

Individual Basis Only

To the fullest extent permitted by law, Disputes will be conducted only on an individual basis and not as a class, consolidated, or representative action. If any claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.

Small-Claims and IP Exceptions

Either party may bring a qualifying claim in Small Claims Court. Claims to enforce or protect intellectual-property rights or to obtain injunctive or equitable relief may be brought directly before the courts of Ontario identified in Section 21: Governing Law.

Consumer and Québec Carve-outs

Nothing in this Section limits any non-waivable rights under applicable consumer-protection laws. If you are a consumer in a jurisdiction that does not permit mandatory arbitration or class-action waivers, this Section applies only to the extent permitted by that law. For consumers habitually resident in Québec, any requirement to arbitrate Disputes or waive class proceedings does not apply, and the competent courts of Québec may be seized as required by law.

Costs and Confidentiality

Each party will bear its own legal fees unless the arbitrator decides otherwise under the applicable rules or law. The arbitration proceedings, filings, and award are confidential except to the extent disclosure is needed to enforce or challenge the award or as otherwise required by law.

23. Corrections

From time to time, information on the Services may contain typographical errors, inaccuracies, or omissions, including product descriptions, pricing, availability, shipping times, or promotional details. We reserve the right to correct any such errors, inaccuracies, or omissions and to update or revise information at any time, with or without notice.

If an error in price, shipping, or availability is discovered after you place an order, Extreme Deals Of The Day will contact you to confirm, adjust, or cancel the order in accordance with applicable consumer-protection laws. If an order is cancelled, any payment collected will be refunded. The final checkout price displayed and confirmed at payment constitutes the binding purchase amount unless a clear, verifiable system or transmission error occurred.

We do not guarantee that all information on the Services, including information received from third-party data feeds or affiliate networks, is error-free, complete, or current. We do not warrant that the Services, our servers, emails, or other electronic communications are free of viruses or other harmful components. To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising from your use of the Services or any content made available through them, even if we have been advised of the possibility of such damages.

Pricing and Availability Disclaimer: Product prices, descriptions, and availability displayed on our website or through affiliate feeds may change without notice. While we strive for accuracy, occasional errors may occur in pricing, currency conversion, or stock information provided by fulfillment partners or data-feed networks. The final price confirmed at checkout, including applicable taxes, duties, and shipping costs, constitutes the total amount due and supersedes any previously displayed or advertised price. We may correct pricing errors and cancel or adjust orders affected by such discrepancies in accordance with Section 23: Corrections.

Provincial Consumer Rights Notice: The laws of certain jurisdictions, including the Consumer Protection Act of Québec and similar legislation, do not allow limitations on implied warranties or the exclusion or limitation of certain damages. 25. Limitations Of Liability

To the maximum extent permitted by law, neither Extreme Deals Of The Day nor its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, service providers, contractors, successors, or assigns will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or use, arising out of or related to your use of the Services or any content made available through them, even if advised of the possibility of such damages.

Subject to non-waivable rights under applicable law, our aggregate liability to you for all claims arising out of or related to the Services will not exceed the greater of one hundred Canadian dollars (CAD 100) or the total amount you paid to us for the product or service giving rise to the claim during the six months preceding the event giving rise to the claim.

Some jurisdictions, including certain Canadian provinces, do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If those laws apply to you, some of the above limitations may not apply. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law.

26. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Extreme Deals Of The Day and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, service providers, contractors, successors, and assigns from and against any claims, liabilities, losses, damages, judgments, awards, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the Services (including the website, app, or data feeds);
• Your breach of these Legal Terms or any policy referenced in them;
• Your violation of any rights of a person or entity, including intellectual-property, publicity, or privacy rights;
• Your Submissions or Contributions, reviews, or communications made through the Services;
• Any dispute between you and a third-party seller, supplier, shipper, or affiliate program accessed via the Services;
• Allegations that information you provided is inaccurate, incomplete, or misleading.

We may, at our expense, assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense. You may not settle any matter without our prior written consent, and we will not settle any matter that imposes obligations on you without your consent. Your indemnification obligations survive termination of these Legal Terms and your use of the Services. Nothing in this Section requires you to indemnify us for our own fraud, willful misconduct, or liability that cannot be limited under applicable law.

Data may be processed in Canada, the United States, and other jurisdictions where we or our vendors operate. Subject to legal, accounting, and fraud-prevention requirements, you may have rights to access, correct, or delete personal information as described in our Privacy Policy. Operational logs may be retained for security and audit purposes after account closure in accordance with our retention schedule.

Extreme Deals Of The Day aims to ensure all product listings, prices, and specifications are accurate and up to date. However, typographical errors, system glitches, or supplier-feed inaccuracies may occur. We reserve the right to correct any error or omission at any time without prior notice, including after an order is submitted.

Pricing and Currencies: Prices are displayed in multiple currencies (CAD, USD, EUR, AUD) based on user location and exchange rates. Minor fluctuations may occur due to live currency conversion. The price shown and confirmed at checkout will always represent the final purchase amount charged to your payment method.

Order Acceptance: Submitting an order constitutes an offer to purchase. Upon payment confirmation, a binding contract is created. We reserve the right to decline or cancel any order for reasons including pricing errors, stock unavailability, payment irregularities, or suspected fraudulent activity. 33. TAXES

Extreme Deals Of The Day, registered in Markham, Ontario, Canada, applies a 13 % Harmonized Sales Tax (HST) to all domestic transactions as required by the Canada Revenue Agency (CRA). International customers may be responsible for local VAT, customs fees, or import taxes depending on their jurisdiction.

All taxes and fees are displayed at checkout when possible. Prices shown do not include import duties or brokerage fees, which may be collected upon delivery by local authorities. Customers are responsible for ensuring compliance with applicable tax obligations in their home country or province.

34. FORCE MAJEURE

Extreme Deals Of The Day shall not be held liable for delays, interruptions, or failure to perform obligations caused by events beyond our reasonable control. Such events include, but are not limited to, natural disasters, pandemics, labour strikes, cyberattacks, acts of war or terrorism, supplier or transport disruptions, governmental actions, or communication-network failures.

In such circumstances, affected obligations will be suspended for the duration of the event and resumed once conditions reasonably permit. If performance is rendered impossible for more than sixty (60) days, either party may terminate the affected transaction without further liability, subject to applicable refund or return rights under these Terms.

35. LIABILITY EXCLUSIONS

To the fullest extent permitted by applicable law, Extreme Deals Of The Day, including its affiliates, officers, employees, licensors, suppliers, and service providers, shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Services, products, or third-party integrations. This includes, without limitation, loss of profits, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages.

Our total liability, regardless of form of action, shall not exceed the total amount you paid (if any) for the specific product or service giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater. Some jurisdictions (including Québec) do not allow exclusion or limitation of certain damages or implied warranties; therefore, these limitations may not apply where prohibited by law.

These exclusions operate in accordance with Canadian and international law, including the Consumer Protection Act (Ontario), the Competition Act (Canada), and where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG).

These Legal Terms do not create or imply any partnership, joint venture, employment, fiduciary, or agency relationship between you and Extreme Deals Of The Day. Neither party may represent the other or bind it in any way except as expressly authorized in writing.

Any waiver of a breach or failure to enforce any provision shall not constitute a waiver of any subsequent breach. These Terms shall bind and benefit both parties and their respective successors, permitted assigns, and legal representatives.

If any clause of these Terms is determined by a competent court to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining clauses shall remain in full force and effect.
